Terms and conditions:

By using this website and by placing an order with AGC labels and/or A. Graphic Communications Inc. you agree to following terms and conditions:

 

1. By placing an order with AgcLabels and A. Graphic Communications Inc. you: (i) represent and warrant that you have all necessary permission, right and authority to place an order with AgcLabels and/or A. Graphic Communications Inc., and; (ii) are authorizing AgcLabels and/or A. Graphic Communications Inc. to design and print such order on your behalf. Unless otherwise indicated in writing, any materials created in producing your orders are and shall remain the sole property and copyright property of AgcLabels and A. Graphic Communications inc. This includes but not limited to typeset layouts & designs, color scans & images, fonts, high-resolution digital files etc. Unless otherwise indicated in writing, we reserve the right to use these designs in any way we see fit, to distribute free samples of your printed material and to use it in any national and international advertising campaigns without your prior consent. In addition, you may not change, give away, sell, reproduce or transmit by any means any design, layout, typesetting, photograph or photocomposition used in producing your order without explicit written permission from AgcLabels and/or A. Graphic Communications inc.

2. You are 100% responsible for the accuracy of your layouts. Please proofread all layouts carefully.

3. AgcLabels and A. Graphic Communications Inc. will do it’s best to match the proof’s colors as closely as possible, but cannot guarantee an exact match of color and density (as viewed in a 5000K light booth) because of limitations in the printing process. We accept no responsibility for color variations between color proofs, submitted images and the actual artwork or product they represent.

4. No refunds given once we begin your order, which means we have received your necessary materials (images, text, digital files and proofs) and started work on your job. Partial refunds may be given for work not started.

5. You agree to pay for industry standard +/- 10% over-runs, which will be billed separately after the job is completed.

6. I/We agree that we are fully responsible for payment for all services/products ordered by us whether in writing, verbally, or otherwise. We agree to review AgcLabels and A. Graphic Communications Inc.’s invoices promptly upon receipt. We agree that invoices not questioned in writing by us within 10 days of the invoice date (undisputed) have been satisfactorily reviewed and approved and will be paid without further question according to the invoice terms.  I/We hereby authorize AgcLabels and A. Graphic Communications Inc. to charge my credit card and/or to initiate entries to my (our) checking/savings accounts at my financial institution and initiate adjustments for any transactions to debit my account for all open accounts and invoices over 30 days. I/We agree to pay collection costs, court costs and reasonable attorney's fees for any past-due invoices referred by AgcLabels and A. Graphic Communications Inc. for collections and/or legal proceedings.

7. Quoted Turnaround Times start only after all materials necessary to complete your order have been received. Completion of your job within our regular Turnaround Time is pursuant to receipt of your signed layout/final approval and payment. Expected delivery dates and Turnaround Times are estimated and are not guaranteed. Your order may arrive late due to unforeseen delays in delivery service, the breakdown of equipment, etc.

8. INDEMNIFICATION, DAMAGES: You agree to indemnify and hold AgcLabels and A. Graphic Communications inc. and its parent companies, subsidiaries, affiliates, officers, directors, employees and independent contractors harmless from any claim, demand, damages, liability, costs and expenses including but not limited to attorneys’ fees made by any third party due to or arising out of any claim alleging that the printed work violates any copyright, trademark, intellectual property, proprietary or privacy right of any person or entity. You hereby represent and warrant that you own or have properly licensed all the necessary rights to use the images/graphics, text or other materials supplied for producing your job. You acknowledge and understand that copyrighted materials, per U.S. Copyright law do not have to bear a copyright notice in order to be protected by such laws. You also warrant and represent that no copyright notice has been removed or altered in any manner from

any images or materials used in preparing your content for reproduction by AgcLabels and A. Graphic Communications inc. DO NOT send any irreplaceable transparencies, prints or artwork. Although we take every precaution to safeguard your materials, we are NOT responsible for loss or damage of images or artwork.

AgcLabels and A. Graphic Communications Inc. shall not be liable for USPS, UPS, FedEx or any other courier’s performance failures or delivery delays. All transactions shall be deemed to have been made in the County of New York under the laws of the State and County of New York. If you do not agree to these terms of use, you are not authorized to use the site. AgcLabels and A. Graphic Communications Inc. cannot and does not guarantee the security of information you transmit through the Web, and you transmit all such information at your own risk.
